Terms of Service ("Terms")

Please read these Terms of Service ("Terms") carefully before using our http://forgetmeetings.com service (the "Service" or "ProjectPlan") operated by younitec AG ("us", "we", or "our"), having its registered office at Gewerbestrasse 6, CH-6330 Cham in Switzerland.

Your use of or access to the Service signifies your agreement to comply and be bound by these Terms contractually.

If you disagree with any part of the terms then you may not access the Service.

Service

We offer you the internet-based Service to create and share time allocation charts (Project Plans) that can be accessed via the website http://forgetmeetings.com with others.

We do not ship any physical goods.

You are free to use a Free version of our Service with the following functional restrictions:

Subscription Types

You may use the Service privately or for business. We offer the same subscription types for both. After you paid the subscription fee, you will be informed of our receipt of payment and activation of the Service via email. We do not provide refunds for payments received for our Service.

If you want to use our Premium Plan, the following fees apply:

More than 100 plans uppon request

You can pay by credit card or PayPal, which will be handled by Braintree Payments or, in Switzerland only, by invoice or SMS.

If you pay via invoice, your Premium subscription will be activated after we received your payment. We will inform you of the payment receipt and activation via email.

Using the SMS-payment option, handled by http://963.ch, will results in a separate subscription type, as you can only book one (1) Project Plan that renews monthly by SMS-payments for a fee of 3 CHF. Any notifications from us regarding your subscription will then be communicated to you via your mobile number you used for the SMS payment instead of email.

Cookies

We use "cookies", which are small text files stored on your device to help operate the website, collect information about activity, store your preferences and settings and help with sign-in. Whenever you sign in using third party accounts, we also set or read additional cookies and web beacons from third-party service providers.

We also use cookies to compile anonymous, aggregated statistics that allow us to understand how people use our site and to help us improve its structure and content. We cannot identify you personally from this information.

If you want to block, control or delete cookies, you can make use of your web browser settings or install other tools available.

Be aware that ProjectPlan will not function properly without cookies!

Data Privacy

In using or accessing our Service, you expressly consent to all data collection and data processing by us and the respective third parties related to our Service as described herein.

What data we collect:

When signing in with one of our following third-party providers: Google, Microsoft, Yahoo or LinkedIn we collect your first name, last name and email for authorization.

Upon subscribing to our service we collect and store your payment information chosen. For payments by invoice no further data is needed. If you pay via SMS, we collect and store your mobile number, which we then also use for contacting you regarding your subscription. Your credit card or PayPal information is collected and processed by our third party payment service provider Braintree Payments only and never transferred to nor saved on our server.

We collect the content and other information you provide when you use our Services, including when you sign up for an account, create or share, and message or communicate with others with your Project Plan. This can include information in or about the content you provide, such as the date and time the Project Plan was created or modified (Content Information). We also collect information about how you use our Services, such as the type of subscription you chose, the type of content you put in the Project Plans or the frequency and duration of your activities.

How we use the data:

We use the data collected exclusively to provide our Service. We also may use the information to communicate with you, for example, informing you about your account, subscription and updates.

We store the data for as long as it is necessary to provide products and services to you and others, and to fulfil our legal requirements for record keeping. Content Information and Project Plans from your account will only be kept until your account is deleted.

When we will disclose the data

We will generally not disclose your information except with your consent, e.g. when you send an email to a friend and share your Project Plan or link your account with another service.

We may share or disclose personal information with vendors or agents working on our behalf, or if we believe in good faith that doing so is necessary to:

  1. comply with applicable law or respond to valid legal process from competent authorities;

  2. protect our customers, for example to prevent spam or attempts to defraud users of the services or to help prevent injury of anyone;

  3. operate and maintain the security of our services, including to prevent or stop an attack on our computer systems or networks;

  4. collect fees from you or our third party vendors for your subscriptions.

Third Parties that collect and process your data

Please note that in using or accessing our Service you also expressly consent to all data collection and data processing under the various third party data privacy statements of the third parties related to our Service as described herein. Thus, we strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit and/or make use of.

All content information of our Service is hosted with Microsoft in their public cloud Azure environment and therefore processed by Microsoft globally. Microsoft is Safe Harbor certified and contractually promises to maintain the appropriate organizational and technical measures to protect your and our data. Our Service also contains links to other third-party web sites or services that are not owned or controlled by younitec AG, such as your third-party login account or our payment service provider Braintree Payments.

younitec AG has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that younitec AG shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.

Acceptable Use Policy

Please do not misuse our Service.

Make sure you do not include confidential or sensitive information, and that all parties whose information, material or intellectual property you include in your Project Plans have agreed to your use of this Service, so you do not breach any personal or proprietary rights of third parties.

Do not interfere with our Services or try to access them using a method other than the interface and the instructions that we provide.

Further, you may not use our Service for any inappropriate activities, infringing on rights of others, or anything that may appear to be or is regarded as illegal or criminal behavior.

Our Service is meant to facilitate event or project planning, and not intended for advertising, spamming, mobbing or any other use third parties could find annoying, and we retain the right to terminate the Service immediately and delete your Project Plan(s) and or user account if we receive substantiated complaints on your use of our Service or if we are investigating suspected misconduct.

Subscription Term and Termination

After subscribing to our Service and paying your annual subscription fee, your subscription will always run for a fixed period of one (1) year after activation (Subscription Term).

We will inform you via email before your Subscription Term expires and remind you to cancel the Service if you do not want it to continue for another Subscription Term of one (1) year.

If you want your subscription to renew automatically for another Subscription Term, you will not need to take any action.

You may cancel your subscription at any time, and it will terminate automatically after your currently running Subscription Term has expired. We do not provide any refunds of paid subscription fees, and you can use the Service until the last day of your subscription.

We may terminate or suspend your access immediately, without prior notice or liability, for any important reason, including without limitation if you breach any of these Terms.

Upon termination, your right to use the Service will immediately cease and your Project Plan(s) will be deleted.

Limitation of Liability

We limit our liability to the maximal extent possible under mandatory law. In no event shall younitec AG, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Warranty Disclaimer

We will use reasonable efforts if the Service is down or impacted and will automatically back-up all Project Plans every 48 hours.

However, your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Please create your own regular back-up (Excel export), since in case of an incident in our system, you might lose all information, or at least your input of the last two days (48 hours) after restoration of our automatically backed-up version.

The Service is provided without warranties of any kind, whether expressed or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

younitec AG its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; or c) the results of using the Service will meet your requirements.

Changes of the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound contractually by and comply with the revised terms. If you do not agree to the new terms, please cancel or simply stop using the Service.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
